These Terms of Service ("Terms") govern your access to and use of the Viddla platform at vidd.la and its subdomains (the "Service"). The Service is operated by Viddla ("we", "us", "our") from Lithuania, within the European Union.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Please also review our Privacy Policy, which describes how we collect and process your personal data.
1. Eligibility
You must be at least 13 years old to create an account and use the Service. If you are between 13 and 16 years old, you may need the consent of a parent or legal guardian depending on the laws of your country within the EU/EEA.
By creating an account, you represent that you meet the minimum age requirement and that all registration information you provide is truthful and accurate.
2. Your Account
2.1 Registration
To use certain features of the Service, you must create an account by providing your email address, display name, date of birth, and a password. You agree to:
- Provide accurate and complete registration information
- Keep your login credentials confidential
- Notify us promptly if you suspect unauthorized access to your account
You are responsible for all activity that occurs under your account.
2.2 Security
We strongly encourage you to enable two-factor authentication (2FA) for added account security. We are not liable for any loss resulting from unauthorized use of your account where you have not taken reasonable steps to secure your credentials.
2.3 Channels
You may create one or more creator channels under a single account. Each channel operates as a separate public identity on the platform. You are responsible for all content published through your channels.
2.4 Account Deactivation and Deletion
- Deactivation: You may temporarily deactivate your account at any time through your Account Settings. Your data is preserved and you can reactivate by logging in again.
- Deletion: You may permanently delete your account and all associated data through your Account Settings. This action is irreversible. All your videos, comments, playlists, subscriptions, and other data will be permanently removed.
3. Subscription Plans and Payments
3.1 Plans
The Service offers both free and paid subscription plans for viewers and creators. Details of available plans, pricing, and included features are listed on our Pricing page.
Plan features, pricing, and availability are subject to change. We will provide reasonable notice before any pricing changes take effect for existing subscribers.
3.2 Billing
Paid subscriptions are processed through a third-party payment provider (currently or in the future, Stripe) on a recurring basis (monthly, yearly, or lifetime, depending on the plan selected). By subscribing, you authorize the payment provider to charge your chosen payment method at the start of each billing period.
3.3 Cancellation
You may cancel your subscription at any time through your Account Settings. Upon cancellation:
- Your paid features remain active until the end of your current billing period
- Your account reverts to the Free plan after the billing period ends
3.4 Refund Policy
As a courtesy, Viddla offers refunds for accidental purchases if you contact us within 24 hours of the purchase date and time. After this period, all sales are final unless otherwise required by applicable laws in your jurisdiction.
3.5 Chargebacks
By subscribing to a paid plan, you agree not to initiate a chargeback or payment dispute with your bank or financial institution without first contacting us at [email protected] to resolve the issue. Initiating an unjustified chargeback may result in suspension or termination of your account.
3.6 Gift Codes and Credits
We may issue promotional gift codes that grant credits, plan upgrades, or additional features. Gift codes:
- Are non-transferable and may only be redeemed once per account (unless otherwise specified)
- May have expiration dates and usage limits
- Cannot be exchanged for cash or monetary value
- May grant benefits with a limited duration, after which they expire
Abuse of the gift code system (e.g., creating multiple accounts to redeem codes) may result in account termination.
4. User Content and Conduct
4.1 Your Content
You retain ownership of all content you upload, post, or submit to the Service ("User Content"). By uploading User Content, you grant Viddla a worldwide, non-exclusive, royalty-free license to:
- Host, store, and back up your content on our infrastructure
- Transcode and encode your content into multiple formats and resolutions for delivery
- Generate thumbnails, preview images, and storyboard frames from your videos
- Generate captions and subtitles using automated speech-to-text processing
- Distribute and cache your content through our content delivery networks
- Display your content to other users of the Service as you have configured (public, unlisted, etc.)
This license exists solely for the purpose of operating and providing the Service. It terminates when you delete your content or your account, except for copies that may persist temporarily in backups or caches.
4.2 Prohibited Content
You agree not to upload, post, or transmit any content that:
- Infringes copyright or other intellectual property rights of any third party
- Is illegal under the laws of Lithuania, the European Union, or the jurisdiction in which you reside
- Contains harassment, threats, or abuse directed at any individual or group
- Is spam or contains misleading, deceptive, or repetitive promotional material
- Contains malware, viruses, or other harmful code
- Exploits minors in any way
- Promotes violence or incites hatred against individuals or groups based on protected characteristics
- Contains unauthorized personal information of third parties
We reserve the right to remove or restrict any content that violates these Terms or our Community Guidelines without prior notice. These terms apply to any content you submit to Viddla, whether publicly or privately.
Viddla may review your conduct and content for compliance with these Terms and our Community Guidelines, and reserves the right to remove any violating content at any time. Viddla reserves the right to delete or disable content alleged to be infringing the intellectual property rights of others, and to terminate accounts of repeat infringers.
In addition, Viddla reserves the right to suspend, terminate, or otherwise restrict your account at our discretion.
4.3 Feedback
We welcome feedback, including comments, ideas, and suggestions about the Service. If you provide feedback, we may use it for any purpose without any obligation to you. Feedback is treated as non-confidential.
4.4 Acceptable Use
To maintain the quality and stability of the Service, automated rate limits apply to certain actions. You agree not to:
- Circumvent or attempt to bypass rate limits or other technical restrictions
- Use automated bots, scrapers, or tools to access the Service without authorization
- Interfere with the Service's infrastructure, security, or other users' experience
- Impersonate another person or entity
- Use the Service for any purpose that is unlawful or prohibited by these Terms
4.5 Unauthorized Downloading
You may not download, rip, capture, or otherwise extract video or audio content from the Service except through features we explicitly provide (such as an official download button available to eligible subscribers). The use of third-party tools, browser extensions, or software to download or record content from Viddla is strictly prohibited.
This restriction applies regardless of the intended use, including personal, commercial, or archival purposes.
4.6 AI and Data Mining
You may not use any content from the Service, including but not limited to videos, audio, thumbnails, captions, comments, or metadata, for the purposes of:
- Training, developing, or improving any artificial intelligence or machine learning model
- Data mining, data harvesting, or building datasets
- Any form of automated content analysis or extraction
This prohibition applies to all parties, including individuals, organizations, and AI service providers, regardless of whether the content is publicly accessible. Crawling or scraping the Service for AI training purposes is expressly forbidden.
5. Creator Terms
5.1 Uploads
As a creator, you may upload video content subject to the limits of your plan tier (see Section 3.1). Uploaded content is processed through our transcoding pipeline, which may generate multiple resolution variants, thumbnails, and captions from your original file.
5.2 Monetization
Creators who meet our eligibility criteria may access monetization features, including:
- Channel memberships: Offer paid membership tiers to your audience with exclusive benefits
- Creator analytics: Access detailed statistics about your content's performance and audience
Monetization features require specific permissions and may be subject to additional terms. Monetization eligibility and features may vary by plan tier.
5.3 Creator Responsibilities
As a creator, you are solely responsible for:
- Ensuring you have the rights to all content you upload
- Complying with all applicable laws regarding the content you publish
- Accurately representing your content through titles, descriptions, and thumbnails
- Responding to legitimate copyright claims in a timely manner
6. Copyright and Intellectual Property
6.1 Respect for Copyright
Viddla respects the intellectual property rights of others. We respond to valid copyright infringement claims and maintain a system for rights holders to report infringing content.
6.2 Filing a Copyright Claim
If you believe your copyrighted work has been used on the Service without authorization, you may submit a copyright claim through our contact form or by emailing [email protected]. Your claim should include:
- Identification of the copyrighted work
- The URL of the allegedly infringing content on Viddla
- A description of the specific infringement (audio, visual, or audiovisual; with timestamps if applicable)
- Your contact information
- A statement that you have a good faith belief the use is not authorized
- A statement under penalty of perjury that the information is accurate and that you are the rights holder or authorized to act on their behalf
6.3 How Claims Are Handled
Upon receiving a valid claim, we may take one or more of the following actions on the affected content:
- Block: Remove or restrict access to the content
- Mute: Remove the audio from the content
- Track: Allow the content to remain available while tracking viewership data
- Monetize: Redirect monetization to the rights holder (where applicable)
6.4 Disputes and Appeals
If you are a creator whose content has been subject to a copyright claim, you may:
- Dispute the claim by providing evidence and a reason for the dispute (e.g., fair use, public domain, original work, authorized use, or mistaken identification)
- Appeal a dispute decision if you believe it was resolved incorrectly, by providing additional evidence or identifying procedural errors
Appeals are reviewed by our team. A final decision on an appeal is binding and cannot be further contested through the platform.
6.5 Repeat Infringers
We may terminate the accounts of users who are the subject of repeated, valid copyright infringement claims.
7. Content Moderation and Reporting
7.1 Reporting Content
If you encounter content that violates these Terms, you may report it using the reporting feature available on videos, comments, and channels. Reports are categorized as:
- Spam - Repetitive, misleading, or promotional content
- Abuse - Harassment, bullying, or threatening behavior
- Copyright - Alleged copyright infringement (see Section 6)
- Inappropriate - Offensive or unsuitable content
- Other - Other policy violations
7.2 Review Process
All reports are reviewed by our team. We will take appropriate action, which may include content removal, warnings, temporary suspension, or permanent bans depending on the severity and frequency of violations.
We are not obligated to notify the reporter of the outcome of their report.
8. Termination and Suspension
8.1 By Viddla
We may suspend or terminate your account, with or without notice, if we determine that you have:
- Violated these Terms or any applicable law
- Engaged in conduct harmful to other users or the Service
- Been the subject of repeated valid copyright claims
Suspensions may be temporary (with a specified duration) or permanent. We will document the reason for any suspension or termination.
8.2 By You
You may stop using the Service at any time. You may deactivate or permanently delete your account through your Account Settings (see Section 2.4).
8.3 Effect of Termination
Upon account termination:
- Your access to the Service is revoked
- Your User Content may be removed
- Any active subscriptions are cancelled (no refund for the remaining billing period, except as required by law)
- Credits and gift code benefits are forfeited
9. Rights and Ownership
You retain your rights to any content you submit, post, or display on or through the Service (see Section 4.1).
So long as you comply with these Terms, Viddla gives you a limited, personal, non-exclusive, and non-assignable license to access and use the Service.
The Service, including its design, logo, features, and underlying software, is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right, title, or interest in the Service, other users' content, or Viddla's logos or other brand features.
You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.
We may stop providing the Service or any of its features at our sole discretion. We also retain the right to create limits on use and storage, and may remove or limit content distribution on the Service.
10. Disclaimers
The Service is provided "as is" and "as available" and has no warranty of any kind, either express or implied.
We do not guarantee that:
- The Service will be uninterrupted, error-free, or secure at all times
- Content uploaded to the Service will be preserved indefinitely
- Transcoding, caption generation, or other automated processing will be accurate
- The Service will be available in your jurisdiction
11. Limitation of Liability
We do not exclude or limit our liability to you where it would be illegal to do so. This includes any liability for gross negligence, fraud, or intentional misconduct in providing the Service. In countries where certain exclusions are not allowed, we are responsible to you only for losses and damages that are a reasonably foreseeable result of our failure to use reasonable care and skill, or our breach of our contract with you. This does not affect consumer rights that cannot be waived or limited by any contract or agreement.
In countries where exclusions or limitations of liability are allowed, Viddla will not be liable for:
- (a) Any indirect, consequential, exemplary, incidental, punitive, or special damages, or any loss of use, data, or profits, under any legal theory, even if Viddla has been advised of the possibility of such damages.
- (b) Other than for the types of liability we cannot limit by law (as described above), we limit the total liability of Viddla for any claim arising out of or relating to these Terms or the Service, regardless of the form of action, to a maximum of €50.00.
12. Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government action, power failures, internet outages, or third-party service disruptions.
13. Governing Law and Disputes
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.
13.2 Dispute Resolution
In the event of a dispute, we would like to address your concerns without formal legal proceedings. Before filing a claim against Viddla, you agree to contact us and attempt to resolve the claim informally by sending a written notice by email to [email protected]. The notice must:
- (a) Include your name, email address, and residence country
- (b) Describe the nature and basis of the claim
- (c) Set forth the specific relief sought
Our notice to you will be sent to the email address associated with your account and will contain the information described above. If the dispute cannot be resolved informally within 30 days after a notice is sent, either party may initiate formal proceedings in the courts of Lithuania.
13.3 EU Consumer Rights
If you are a consumer residing in the European Union, nothing in these Terms affects your rights under mandatory EU consumer protection legislation, including the EU Consumer Rights Directive (2011/83/EU).
14. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you of material changes through the platform or by email (if you have an account)
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account.
15. No Waiver
If you do not comply with these Terms and we do not take action immediately, this does not mean that we are giving up any rights that we may have, such as the right to take action in the future.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
